General Conditions – Agency Agreement – InsideZen Sàrl

1. Scope of application

These General Terms and Conditions (hereinafter referred to as “GTC”) apply to agency contracts concluded between InsideZen Sàrl (hereinafter referred to as “the Agent”) and private or professional clients (hereinafter referred to as “the Principal”). Unless otherwise stated, the GTC apply from the date of signature of the offer and remain in force until the end of the Contract.

2. Purpose of the GTC

The purpose of these GTC is defined in the offer of services for diagnosis and advice on Feng Shui decoration and fittings.

3. Price

The Mandator undertakes to pay the price mentioned in the offer.

If the currency is not specified, the amounts in the offer are deemed to be expressed in Swiss francs, excluding VAT. The amount of the offer is to be considered net.

Any additional work or services ordered by the Principal will be invoiced on an hourly basis in addition.

4. Payment

Payment may be made in advance, against invoice or in cash.

Unless a different payment period has been agreed for invoices and payments in advance, or if no payment period has been specified, the payment period is ten days net.

Unless otherwise agreed, for all orders, a deposit of 50% of the order value is required. The balance is due from the day of delivery of the service.

InsideZen Sàrl is entitled to demand payment in advance or deposits, even if the “invoice” method of payment was agreed at the time the sales contract was concluded.

In the event of non-payment within the deadline, the customer is deemed to be in arrears without further reminder. InsideZen Sàrl reserves the right to initiate legal proceedings after a written reminder and to demand the costs incurred by the reminder and the legal proceedings, including default interest of 5%.

5. Power of representation

The Agent is authorised, at the written request of the Principal, to speak on the Principal’s behalf, but will under no circumstances enter into commitments on behalf of the Principal.

6. Guarantees

The Representative guarantees :

– That he will serve the Principal’s interests to the best of his conscience and using all his knowledge. He will take into account the generally known state of his profession;

– That he will consider the information received in the performance of his mandate as confidential and will not use it to the detriment of the Principal;

– The mandatary will generally carry out his duties personally, but he is authorised to use the services of external specialists;

7. Start and end of the contract

7.1 Commencement of the Contract

If the parties decide that the Contract shall be concluded in written form, it shall come into effect upon signature of the offer.

7.2 End of the Contract

The Contract comes to an end when the parties fulfil their respective obligations.

8. Miscellaneous

8.1 Hierarchy

Any provisions of the offer which deviate from the GTC shall take precedence over the terms of the GTC. The Swiss Code of Obligations shall apply in all other respects.

8.2 Applicable law and place of jurisdiction

These GTC are subject to Swiss law, with the exception of the rules of private international law.

Any disputes arising in connection with these GTC shall be submitted to the competent courts of Geneva.
